-----I just went to the store where it was purchased. They have no ipad2's and the original credit card that was used would be credited. This was a gift from my husband's boss. He doesn't want them to know that he is exchanging it and they said it takes 2 months to get refund and we would have to pay upfront for them to order the ipad2. Well, the ipad was free so we will keep it. Thanks.

Key sentence here. Keep the gift, maybe a year or so from now sell it and upgrade but since it was a gift, keep it and enjoy. IPad 1 is a great device and the cameras on the 2 are really not that good.
I suggest keeping the gift. You are not obligated to activate the 3G. And, though, you may not need the whole 64gigs spec now, you may find it useful, later.
I don't believe anyone regrets having too much storage space available.
And, the 3G can be activated on a month to month basis (as needed), if you decide you need 3G at some point.
If this is your first iPad, you will find it more of the go-to unit over an iPhone due to the large screen & a bit easier to use due to it's size.
